Terms of Service

These terms govern use of the Databros website and any preliminary discussions with Databros. Final engagement terms are confirmed in the Statement of Work for each project. For questions, contact contact@databros.us.

Who we are

Databros LLC ("Databros," "we," "us") is a California limited liability company operating at databros.us. All engagements are with Databros LLC as the contracting entity.

What we do

We build automated reporting pipelines and related data tooling for businesses. The specific scope, deliverables, and pricing for any engagement are defined in a Statement of Work issued before work begins. Nothing on this site is itself an offer or contract.

Payment terms

Standard payment terms are net-7 from invoice date for engagements under $2,000 and net-14 for engagements at or above $2,000, unless the Statement of Work specifies otherwise. Late balances accrue 1.5% per month from the due date. We invoice after delivery.

Ownership of deliverables

On full payment of the invoice, all final deliverables (pipeline code, templates, generated outputs) transfer to the client with full intellectual property rights. We retain a non-exclusive right to reference the engagement anonymously in case studies and marketing materials unless the client opts out in writing.

Confidentiality

Client data shared during an engagement is held in confidence and used solely to perform the engagement. We will sign a mutual NDA on request before any data is exchanged.

Limitation of liability

Our liability for any claim arising out of an engagement is limited to the fees paid by the client under that engagement. We do not warrant the performance or availability of third-party systems integrated into a deliverable (data sources, hosting platforms, payment processors).

Governing law

These terms and any engagement are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California.

Changes

Updates to these terms will be reflected on this page with a revised date. Engagements in progress are governed by the version in effect when the Statement of Work was signed.
